Terms of Service

1. Who we are; agreement to these Terms
Botanisun (“Botanisun,” “we,” “us”) is a software platform operated by RPFS, Inc., a company registered in Arizona, United States, doing business as Botanisun [CONFIRM: DBA/trade-name registration status for the name “Botanisun”]. By creating an account or using botanisun.com, app.botanisun.com, labs.botanisun.com, or any related Botanisun service (the “Services”), you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a business, you represent that you can bind that business, and “you” means that business.
2. What the Services are — and are not
Botanisun provides software for the specialty-plant trade: plant and pricing intelligence, a supplier directory, sourcing tools, invoice-request messaging between buyers and suppliers, inventory and export tools (including CSV exports and connected sales-channel integrations such as TikTok Shop), laboratory operations software, and related features.
Botanisun is not a party to transactions between users. When you contact, negotiate with, or buy from a supplier or buyer you found through the Services — including through invoice requests or vendor invoices — that transaction is solely between you and the other party. We do not process marketplace payments, hold funds, provide escrow, or offer buyer or seller protection. Payment, shipment, quality, and legality of any plant transaction are the responsibility of the transacting parties.
Information is not professional advice. Pricing data, margin estimates, demand indicators, valuation estimates, and compliance-related tools (including the import-permit assistant) are informational aids. They may be incomplete, estimated, or provisional, and are not legal, financial, tax, or customs advice. You are solely responsible for compliance with all laws applicable to your activities, including plant import/export, permitting, licensing, and tax obligations.
3. Accounts
You must provide accurate information, keep your credentials secure, and be at least 18 years old. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms, create risk for other users, or break the law.
4. Subscriptions, billing, trials
Paid tiers are billed through Stripe on a monthly or annual basis at the prices shown at signup. Where offered, your first month functions as a trial; you can cancel any time and paid access continues through the end of the current billing period. Fees are non-refundable except where required by law or expressly stated; refund requests are considered case-by-case at our discretion. We may change prices with at least 30 days’ notice, effective at your next renewal. Failure of payment may result in downgrade to the free tier after a grace period. Taxes: prices exclude applicable taxes, which are collected where we are required to do so.
5. Beta features
Some Services (including laboratory-module features offered free during launch) are provided as beta: they may change, break, or be withdrawn, and are provided “as is” without any service commitment. We will give reasonable notice before materially withdrawing a beta feature that your business depends on.
6. Acceptable use
You agree not to:
- violate any law, including laws governing endangered or protected plant species (e.g., CITES), plant import/export, or quarantine;
- list, solicit, or misrepresent illegally collected (“poached”) or misdescribed plants or provenance;
- scrape, harvest, or bulk-extract data from the Services;
- circumvent access controls, rate limits, or tier restrictions;
- upload malicious code or interfere with the Services;
- use another user’s contact information outside the platform’s intended flows or send spam;
- misrepresent your identity, credentials (licenses, certificates), or affiliation.
We may remove content and suspend accounts to enforce this section, and where content or conduct appears unlawful we may hold or block the related activity.
7. Your content and data
You retain ownership of content you submit (listings, price lists, images, reviews, business information). You grant us a worldwide, non-exclusive license to host, process, display, and transmit that content as needed to operate and improve the Services, including processing by automated and AI systems (see our Privacy Policy). You represent you have the rights to the content you submit. We may aggregate and anonymize data derived from use of the Services (for example, market pricing statistics); aggregated data that does not identify you or your confidential terms is ours to use, including in published indices and research.
Training our plant-identification and valuation models. If you opt in (a separate, revocable choice at signup or anytime in Settings — never required to use the Services), we may use plant photos and collection data you submit — individually and combined with other collectors’ data — to train and improve machine-learning models, including plant identification and valuation models. This is distinct from, and in addition to, the general processing license above. Turning this off in Settings stops future use of your data for training; it does not remove data already incorporated into a trained model at the time you turn it off. 8. Reviews and community content
Reviews must reflect genuine experience. We may moderate, hold, or remove content that appears fraudulent, unlawful, abusive, or in breach of Section 6. We do not endorse user content.
9. Third-party services and marketplaces
The Services interoperate with third-party services (e.g., Stripe, marketplaces you export listings to, messaging providers). Your use of those services is governed by their terms. We are not responsible for third-party services, and an export or integration feature does not make us party to your activity on that marketplace.
10. Intellectual property
The Services, including software, design, databases, and the Botanisun name and marks, are owned by us or our licensors. These Terms grant you a limited, revocable, non-transferable right to use the Services for your internal business or personal use. Feedback you provide may be used without obligation. To report content you believe infringes your IP, contact jarid@rareplantdaddy.com; include identification of the work, the material’s location, your contact details, and a good-faith statement.
11. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of data, and uninterrupted or error-free operation. Without limiting the foregoing: we do not warrant the accuracy of pricing, margin, demand, valuation, or compliance information; we do not guarantee the identity, legality, quality, or conduct of any user, supplier, or buyer; and live plants and their transport involve inherent risk that we do not assume.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for all claims relating to the Services in any 12-month period will not exceed the greater of (a) amounts you paid us for the Services in that period or (b) US $100. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the extent permitted.
13. Indemnity
You will defend and indemnify us against claims arising from your content, your transactions with other users, your violation of these Terms, or your violation of law (including plant-trade, import/export, and tax laws).
14. Termination
You may close your account at any time (see our Privacy Policy for data deletion). We may suspend or terminate the Services or your access for breach, legal risk, or discontinuation of the Services, with reasonable notice where practicable. Sections that by their nature survive (7, 10–13, 15–16) survive termination.
15. Governing law; disputes
These Terms are governed by the laws of the State of Arizona, excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Maricopa County, Arizona, and the parties consent to their jurisdiction.
16. Changes; miscellany
We may update these Terms; material changes will be notified via the Services or email at least 14 days before taking effect, and continued use constitutes acceptance. If any provision is unenforceable, the rest remains in effect. These Terms plus the Privacy Policy are the entire agreement regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Contact: jarid@rareplantdaddy.com.
